01Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Varlecon Incorporation Limited ("Varlecon," "we," "us," or "our"), a company incorporated in Tanzania under the Companies Act, 2002 (Registration No. 165629825) and operating internationally.
By accessing our platform, signing a service agreement, or using any Varlecon product or service — including our AR indoor navigation software, BLE beacon infrastructure, analytics dashboard, or related APIs — you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use our services.
02Description of Services
Varlecon provides a B2B indoor navigation and spatial intelligence platform comprising:
- AR Wayfinding: Augmented reality turn-by-turn navigation for visitors inside large indoor venues.
- BLE Beacon Infrastructure: Bluetooth Low Energy beacon hardware, installation guidance, and positioning firmware.
- Asset Tracking: Real-time location monitoring of equipment, carts, and high-value assets.
- Visitor Analytics: Anonymised heatmaps, dwell time, flow analysis, and footfall reporting.
- Emergency Routing: Dynamic AR evacuation guidance integrated with existing alarm systems.
- Staff Navigation: Role-based routing and task dispatch for internal operations teams.
- Management Dashboard: Web-based control panel for configuration, monitoring, and reporting.
We reserve the right to modify, suspend, or discontinue any part of the services at any time, with reasonable notice provided to active clients.
03Eligibility & Accounts
Eligibility
Our services are intended for business clients only. You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your organisation.
Account Registration
To access the Varlecon dashboard and APIs, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You agree to notify us immediately at security@varlecon.com if you become aware of any unauthorised use of your account.
Account Accuracy
You agree to keep your account information up to date. Providing false, inaccurate, or misleading information may result in immediate termination of your account.
04License & Permitted Use
Grant of License
Subject to your compliance with these Terms and payment of applicable fees, Varlecon grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Varlecon platform solely for your internal business purposes within the venues specified in your service agreement.
Restrictions
You may not, and may not permit others to:
- Sublicense, resell, transfer, or distribute access to the platform to third parties without our written consent.
- Reverse engineer, decompile, or disassemble any component of the platform.
- Use the platform to build a competing product or service.
- Remove or obscure any proprietary notices, branding, or watermarks.
- Use automated scripts, bots, or crawlers to access the platform in a manner that places unreasonable load on our infrastructure.
SDK & API Access
If Varlecon provides you with access to an SDK or API, additional developer terms may apply. Your use of any SDK or API constitutes acceptance of those additional terms.
05Prohibited Conduct
You agree not to use the Varlecon platform to:
- Violate any applicable local, national, or international law or regulation.
- Collect, process, or store personal data in a manner inconsistent with our Privacy Policy or applicable data protection laws.
- Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure.
- Attempt to gain unauthorised access to any part of the platform, including other clients' data or systems.
- Introduce malware, viruses, or other harmful code into the platform.
- Engage in surveillance, tracking, or monitoring of individuals without their knowledge or consent.
- Reproduce, duplicate, or exploit any portion of the platform without our express written permission.
Varlecon reserves the right to investigate any suspected breach of this section and to take immediate action, including suspension or termination of services, without prior notice.
06Intellectual Property
Varlecon's IP
The Varlecon platform, including all software, algorithms, AR rendering systems, BLE positioning technology, visual interfaces, documentation, trade marks, and brand assets, is and remains the exclusive intellectual property of Varlecon Incorporation Limited. Nothing in these Terms transfers any ownership rights to you.
Your Content
You retain ownership of all map data, floor plans, venue configurations, and other content you upload to the platform ("Client Content"). By uploading Client Content, you grant Varlecon a non-exclusive, worldwide licence to use, host, process, and display your Client Content solely to provide the services.
Feedback
Any feedback, suggestions, or ideas you provide to us regarding the platform may be used by Varlecon without restriction or compensation to you.
07Data & Privacy
Your use of the Varlecon platform involves the collection and processing of data. How we handle personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
Visitor Analytics Data
The platform collects anonymised movement and behavioural data from end-users within your venue. This data is processed to generate analytics and improve navigation accuracy. You are responsible for ensuring that appropriate notices are displayed to venue visitors and that you have a valid legal basis for processing under applicable privacy law.
Data Processing Agreement
Where Varlecon processes personal data on your behalf as a data processor, a separate Data Processing Agreement ("DPA") shall govern that relationship. Please contact dpa@varlecon.com to request a DPA.
08Fees & Payment
Pricing
Fees for Varlecon services are set out in your individual service agreement or order form. All prices are exclusive of applicable taxes unless stated otherwise.
Billing
Invoices are issued in accordance with the billing cycle agreed in your service contract. Payment is due within 30 days of the invoice date unless otherwise agreed in writing.
Late Payments
Varlecon reserves the right to suspend access to the platform for accounts with overdue invoices after providing 14 days' written notice. Interest may be applied to overdue amounts at a rate of 1.5% per month.
Refunds
Unless otherwise agreed in writing, fees paid to Varlecon are non-refundable. If you terminate a subscription early, you remain liable for fees due for the remainder of the agreed contract period.
09Disclaimers
The Varlecon platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Warranties that the platform will be uninterrupted, error-free, or free from viruses or harmful components.
- Warranties regarding the accuracy or completeness of any content, analytics, or navigation data generated by the platform.
Indoor positioning accuracy depends on hardware installation quality, venue environment, and device capabilities. Varlecon does not guarantee specific accuracy levels as an absolute warranty.
10Limitation of Liability
To the fullest extent permitted by applicable law, Varlecon and its officers, directors, employees, partners, and suppliers shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, business, or goodwill.
- Damages arising from reliance on navigation data in safety-critical situations.
In no event shall Varlecon's total aggregate liability to you for all claims arising under or in connection with these Terms exceed the total fees paid by you to Varlecon in the twelve (12) months immediately preceding the event giving rise to the claim.
11Indemnification
You agree to indemnify, defend, and hold harmless Varlecon and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the platform in violation of these Terms.
- Your Client Content or the content of your venue configuration.
- Your violation of any applicable law or the rights of any third party.
- Any claim by a venue visitor arising from your failure to provide adequate privacy notices or obtain necessary consents.
12Termination
Termination by You
You may terminate your account and service agreement in accordance with the notice periods specified in your contract. To initiate termination, contact accounts@varlecon.com.
Termination by Varlecon
Varlecon may suspend or terminate your access to the platform immediately and without notice if:
- You materially breach these Terms and fail to remedy the breach within 14 days of written notice.
- You become insolvent, enter administration, or are subject to bankruptcy proceedings.
- We are required to do so by law or regulatory order.
Effect of Termination
Upon termination, your licence to use the platform ceases immediately. Sections 6, 9, 10, 11, and 13 of these Terms shall survive termination.
13Governing Law
These Terms are governed by and construed in accordance with the laws of Tanzania, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Dar es Salaam, Tanzania, in accordance with the Arbitration Act of Tanzania.
For clients in other jurisdictions, nothing in these Terms is intended to exclude or limit rights available to you under mandatory applicable laws in your country of residence.
14Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology, or applicable law. When we make material changes, we will:
- Update the effective date at the top of this page.
- Send an email notification to the primary contact on your account at least 30 days before the changes take effect.
- Display a notice in your Varlecon dashboard.
Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the platform and notify us of your termination.
